1. Platform Overview

Welcome to InfluenciCo ("InfluenciCo", "we", "us", "our"). InfluenciCo operates a software platform at app.influencico.com (the "Platform") that enables brands and advertisers ("Brands") to discover content creators and affiliates ("Influencers") and allows Influencers to promote Brand products through affiliate links, discount codes, and related tools. By accessing or using the Platform you agree to be bound by these Terms of Service (the "Terms"). If you do not agree, do not use the Platform.

2. Our Role — We Are a Technology Platform Only

Important — please read carefully. InfluenciCo is exclusively a technology platform that connects Brands and Influencers. We are not a party to any commercial, advertising, marketing, payment, or sponsorship agreement between a Brand and an Influencer. We do not employ Influencers, we do not represent Brands, and we do not provide marketing, legal, tax, or financial advice.

To use the Platform you must be at least 18 years old and legally able to enter into binding contracts. You agree to provide accurate, current, and complete information during registration and to keep that information up to date. You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your password. Notify us immediately at media@influencico.com if you suspect unauthorized use. We may refuse, suspend, or terminate accounts at our sole discretion.

4. Identity Verification (KYC)

Influencers may be required to complete an identity verification ("KYC") process before receiving payouts. You agree to submit truthful identity documents, banking details, and tax information when requested. Submitting false, forged, or misleading documents is a material breach of these Terms and will result in immediate account termination and forfeiture of any earnings on the Platform. We may retain KYC data in accordance with our Privacy Policy and applicable legal requirements.

5. Commissions, Payments & Platform Fees

5.1 Commission Structure

Each Brand sets the commission rate, commission type (CPA, CPS, CPL, RevShare, etc.), and tracking rules for its own products. When an Influencer generates a qualifying conversion, the commission is owed by the Brand to the Influencer.

5.2 Platform Fee

InfluenciCo charges Brands a platform fee calculated as a percentage of the commissions paid to Influencers (the "Platform Fee"). The Platform Fee is charged in addition to the commission — it is not deducted from the Influencer's commission. The Platform Fee percentage depends on the Brand's subscription plan and may change from time to time with reasonable notice.

5.3 Payouts to Influencers

Influencer payouts are subject to a minimum threshold (currently USD $50) and to successful KYC verification. Payouts are processed on a monthly cycle and may take up to 10 business days after cycle end to arrive. InfluenciCo is not liable for delays caused by banking systems, intermediary banks, compliance reviews, or incorrect information provided by the Influencer. Where a Brand fails to fund the commissions it owes, InfluenciCo has no obligation to pay the Influencer out of its own funds.

5.4 Reversals & Chargebacks

If a conversion is later reversed, refunded, charged back, identified as fraudulent, or found to violate these Terms, the associated commission may be reversed, and amounts already paid to the Influencer may be clawed back from future earnings.

5.5 Taxes

Each user is solely responsible for determining and paying all taxes owed on amounts earned, spent, or received through the Platform. InfluenciCo may issue tax forms (such as IRS Form 1099) where required by law, but this does not make InfluenciCo a tax advisor to any user.

8. Disputes Between Users

Any dispute between a Brand and an Influencer — including disputes about unpaid commissions, rejected conversions, reversed sales, misrepresented audience data, or breach of any side agreement — is a matter between those two users only. InfluenciCo is not required to mediate, arbitrate, or resolve such disputes. At our sole discretion we may provide informal assistance, access to historical tracking data, or (in cases of clear fraud) suspend an account, but we are under no obligation to do so and have no liability for the outcome.

10. Intellectual Property

The Platform, including all software, design, text, trademarks, logos, and documentation, is owned by InfluenciCo or its licensors and is protected by copyright and other intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Platform solely for its intended purpose. You retain ownership of content you upload (e.g. product images, avatars, KYC documents), but you grant InfluenciCo a worldwide, royalty-free license to host, store, reproduce, display, and transmit such content as necessary to operate the Platform.

11. Termination

We may suspend or terminate your access to the Platform at any time, with or without notice, for any reason — including suspected fraud, breach of these Terms, or extended inactivity. You may close your account at any time by contacting media@influencico.com. On termination: (i) your right to use the Platform ends immediately, (ii) outstanding commissions may be forfeited if fraud or breach is involved, and (iii) certain provisions of these Terms (including Sections 2, 5, 8, 10, 13, 14, 15, 16) survive termination.

12. No Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. To the maximum extent permitted by law, InfluenciCo disclaims all warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy of data, uninterrupted service, freedom from viruses, and any warranty arising from course of dealing or usage of trade. We do not warrant that (a) the Platform will meet your requirements, (b) conversions will be tracked accurately in every case, (c) Brands will pay commissions, or (d) any Influencer will produce any particular result.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INFLUENCICO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OR INABILITY TO USE THE PLATFORM, (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM, INCLUDING ANY BRAND OR INFLUENCER, (C) ANY UNPAID COMMISSION OR FAILED PAYMENT, (D) ANY UNAUTHORIZED ACCESS OR ALTERATION OF YOUR CONTENT, OR (E) ANY OTHER MATTER RELATED TO THE PLATFORM. IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (I) THE TOTAL AMOUNT OF PLATFORM FEES YOU PAID TO INFLUENCICO IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (II) ONE HUNDRED US DOLLARS (USD $100).

14. Indemnification

You agree to indemnify, defend, and hold harmless InfluenciCo, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with (a) your use of or access to the Platform, (b) your violation of these Terms, (c) your violation of any third-party right, including any intellectual-property or privacy right, (d) any claim that your content caused damage to a third party, or (e) any dispute between you and another user of the Platform.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, and judgment on the award may be entered in any court of competent jurisdiction. You waive any right to participate in class, collective, or representative actions. Notwithstanding the foregoing, either party may seek injunctive relief in the state or federal courts located in Sheridan, Wyoming, for any alleged infringement of intellectual-property rights.

16. Changes to These Terms

We may update these Terms from time to time. If we make a material change, we will notify registered users by email and/or a notice on the Platform at least 14 days before the change takes effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
